Skills and Experience

Ms Cox has over 15 years of board experience and extensive executive experience in sustainability, property, finance and funds management. Ms Cox began her career at the Bank of New Zealand and over an 11 year period succeeded to the role of General Manager of Finance, Operations and IT. Ms Cox led similar functions at the managed fund custodian Ausmaq Limited, before joining Rothschild & Co Australia Limited as Director and Chief Operating Officer for the Australian operations. During her tenure at Rothschild & Co Australia Limited, Ms Cox was a member of several executive committees, including Chair of the Risk Committee and a member of the Executive and Investment Committees.

In 2003, Ms Cox joined Dexus as Chief Operating Officer and Company Secretary, with her responsibilities expanding in 2012 to include the role of Executive General Manager – Property Services. During her tenure at Dexus, Ms Cox was a member of the Executive Committee and the Investment Committee, and her responsibilities included oversight of all operational aspects of the business including corporate responsibility and sustainability, marketing and communications, information technology, operational risk management, corporate governance and company secretarial practices.

Since retiring from her executive career in 2014, Ms Cox has gained board experience at listed companies including BuildingIQ, Inc and OtherLevels Holdings Ltd. Ms Cox is the current Chair of Cromwell Funds Management Limited, the Australian Sustainable Built Environment Council, Fender Katsalidis (Aust) Pty Ltd and Equiem Holdings Pty Ltd and is a Director of Niche Environment and Heritage Pty Ltd and Campus Living Funds Management Pty Ltd. Ms Cox was former Chair of the World Green Building Council and Green Building Council of Australia, a former Member of the NSW Climate Change Council and a former Director of Low Carbon Australia.

Ms Cox holds a Master of Business Administration from the Australian Graduate School of Management at University of New South Wales and a Graduate Diploma in Applied Corporate Governance from the Governance Institute of Australia. Ms Cox is a Fellow of the Australian Institute of Company Directors, the Governance Institute of Australia (formerly known as the Institute of Chartered Secretaries & Administrators) and is a Member of Chief Executive Women.

Graeme Ross

Skills and Experience

Mr Ross is an experienced real estate and finance executive with a corporate career of more than 25 years in commercial banking, investment banking, funds management and real estate development and investment. His career has spanned both major financial institutions and large real estate and funds management organisations. His experience encompasses corporate and financial advisory, M&A, and capital raising across equity and debt markets.

Mr Ross was formerly the Managing Director and Global Head of Real Estate for the Commonwealth Bank of Australia (CBA) where he had responsibility for all institutional real estate relationships in Australia and internationally including Asia, Europe, USA and the Middle East. In this role Mr Ross managed a large team that provided debt and equity, and global markets solutions to clients and oversaw one of the largest real estate debt portfolios in the Asia Pacific.

Prior to joining CBA, Mr Ross was the Head of Business Development (incorporating M&A and Strategy) at ING Real Estate Investments Australia, where he was a member of the executive committee overseeing the operations of listed and unlisted real estate funds, during a period of great change following the GFC. Mr Ross came to this role after an extensive career in the investment banking sector with both Goldman Sachs Australia and Deutsche Bank (where he was Head of Real Estate Investment Banking for Australia and New Zealand). In his career as an investment banker Mr Ross was a trusted advisor to boards and management teams and managed major M&A transactions and equity and debt capital raisings including IPO’s.

Mr Ross’ foundations in real estate, investment and funds management stem from his career at Lendlease Corporation, where he held roles across the real estate spectrum, from development, investment and funds management, acquisitions and divestments and capital raisings. His experience spanned multiple asset classes (including office, retail and industrial property), and included major acquisitions, and the formation and listing of new real estate investment trusts.

Throughout his career Mr Ross has had broad experience with boards and corporate governance issues both as a management representative and as a corporate advisor. Additionally, he has a broad understanding of real estate markets forged across market cycles, capital structures and credit risk assessment.

Mr Ross has a strong interest in diversity and inclusion issues and was Chair of CBA’s Diversity and Inclusion Committee in the Institutional Bank and a member of the CBA’s Gender Steering Committee.

Mr Ross holds a Bachelor of Economics, a Bachelor of Laws and a Bachelor of Science (Architectural) and has a deep professional and personal interest in architecture and planning, in particular the ways cities develop from a commercial, technological, environmental and social perspective.

Jane Lloyd

Skills and Experience

Ms Lloyd has over 30 years’ experience in Australian and international property markets across retail, industrial, commercial, and residential sectors, starting her career at Lendlease where she held a variety of roles in development.

Ms Lloyd joined Dexus in 2001 and held a variety of development and asset management roles, including Head of Retail for Dexus’s $3.5 billion retail portfolio and Managing Director of US Investments. As Managing Director of US Investments based in Southern California, Ms Lloyd led the team that established Dexus’s presence in the US by assembling the team and restructuring the portfolio.

Between November 2014 and June 2015 Ms Lloyd led the Development and Design team for Stockland’s Commercial Property Division where she was responsible for Stockland’s $1.5 billion retail development pipeline.

Since 2015, Ms Lloyd has consulted through her consulting company, Third Shift Enterprises.

Ms Lloyd is an independent member of the Australian Prime Property Fund (APPF) Retail – Investment Review Committee, and a non-executive director of SHAPE Australia Corporation, and ISPT. As a non-executive director of ISPT, Ms Lloyd chairs the Environment, Safety and Operational Risk Committee. Ms Lloyd is also a Global Trustee of the Urban Land Institute and a board member of Habilis Housing.

Ms Lloyd holds a Bachelor of Town Planning (Hons), a Master of Business Administration from AGSM, and a Master of Public Administration from the Harvard Kennedy School.

Jane Crombie

Skills and Experience

Ms Crombie is an Environmental-Social-Governance (ESG) specialist whose corporate background is in financial services. For almost 20 years she has led investment research and portfolio construction for corporate and superannuation clients. She delivers to boards rigorous questioning of investment decisions, and strategic and operational risks, via transferable skills in asset allocation, market cycles, regulatory compliance, and ESG value creation. She ensures investment decisions are leveraged to maximum effect, whether the desired outcome is commercial profit, retirement lifestyle or charitable impact. Ms Crombie’s commitment to continuous learning and contemporary business practice is demonstrated by her recent graduation as valedictorian from an MBA. This experience added skills in advanced strategy, digital innovation and complex leadership, and deep practical exposure to business planning and venture capital investment as a start-up entrepreneur. As a director, she offers specialised knowledge of board oversight of culture, the topic of her final MBA research thesis.

Ms Crombie’s board and committee experience over the last decade includes roles at PwC, Australian Unity, Australian Institute of Company Directors, Queensland University of Technology, AMA Qld, the Anglican Schools Commission, RSL Qld, and Qld’s largest foundation, the Freemasons Board of Benevolence. She has particular experience as chair and member of audit and risk committees and investment committees. Ms Crombie holds a Master of Business Administration and is a Graduate of the Australian Institute of Company Directors and a Fellow of the Governance Institute of Australia.
